Chubb Arabia Cooperative Insurance Co. announces the results of the Extraordinary general assembly meeting held in the Companys Head Office in Khobar on 19-10-2017 at 18:30 after completing the statutory quorum with 63.67% attendance percentage. Resolution of the meeting is as follow:

1. Ratify on the increase in capital from SR 100 million to SR 200 million an increase of 100% there by increasing the total numbers of shares from 10 million shares to 20 million shares an increase of 100%, by issuing 10 million bonus shares through issuing one bonus share for every one share held, by utilizing the amount of SR 80,000,000 of the companys existing retained earning reserves, as of 31/12/2016 and SR 20,000,000 of the companys existing statutory reserve as of 31/12/2016. The Company aims with this capital increase to strengthen the company capital base which will contribute to higher growth rates and expansion in its business over the coming years and also maintaining solvency margin.

The eligibility for these bonus shares on 19/10/2017 corresponding to 29/1/1439 will be limited to the shareholders who are registered in the shareholders register in the Securities Depository Center at the end of the second trading day following the date of maturity.

Ratification percentage was 99.97%

2. Ratify on amendment of article (8) of the Companys By laws share capital of the company which would reflect the proposed increase in the capital of the company.

3. Ratify on formation of the Audit Committee and set its responsibilities, guidelines, rules and regulations and the remuneration of its members and it ends by the end of the Board of Directors term on 31/5/2018 (16/9/1439h)
